Objective and Purpose of the Assignment

The Government of Mongolia has received financing from the Asian Development Bank (ADB), Green Climate Fund (GCF) and High-Level Technology Fund (HLT) toward the cost of the Ulaanbaatar Green Affordable Housing and Resilient Urban Renewal Project (AHURP). The objective of the project is to transform the highly climate-vulnerable and heavily polluting peri-urban areas of Ulaanbaatar (ger areas) into low-carbon, climate resilient and affordable eco-districts. The Municipality of Ulaanbaatar (MUB) will act as Executing Agency, with responsibility for implementation supported by one Project Management Office (PMO) and one Project Implementation Unit (PIU). The “DBM asset management SC” LLC (DBM-AMC) will serve as PIU and will be responsible for the establishment and management of the Eco-district and Affordable Housing Fund (EDAF) and the implementation of the FIL component of the project.   

I. PROCUREMENT SPECIALIST

  1. Scope of work

The Procurement Specialist will be responsible for carrying out overall procurement activities of the project under the supervision of the Fund manager and ensure that procurement operation is conducted in accordance with the policies and procedures of the Government of Mongolia (GOM) and ADB. The Procurement Specialist will report to fund manager and if applicable, MUB, Ministry of Finance (MOF) and ADB. Required inputs are 56 person-months on a full-time basis and the contract will established on a yearly basis.

  1. Detailed Tasks and/or Expected Output

The Procurement Specialist will report to the Fund manager and perform following duties, but not limited to these only:

  1. ensure that project procurement is conducted in accordance with policies and procedures of the ADB (ADB Procurement Guidelines and Guidelines on the Use of Consultants by ADB and its Borrowers) and the government;
  2. ensure that the project’s procurement plan is implemented and updated as needed based on the project’s implementation progress; and prepare periodic updates to the procurement plan under the guidance of the MUB, ADB and Steering Committee and undertake the relevant approval processes for finalization and constantly report to the project stakeholders;
  3. organize project procurement in accordance with the approved plan and provide assistance to the bid evaluation committee in the tendering process including (i) preparation and issuance of bidding documents and technical specifications, (ii) publication of invitation for bid, (iii) clarification/addendum to the bidding documents, (v) response to bidder’s inquiries, (vi) opening of bids, (vi) bid evaluation, (viii) preparation of bid evaluation reports, (ix) contract award, (x) contract negotiation and signing, (xi) contract administration and (xii) submission of relevant procurement documentations to ADB for approval in accordance with ADB procedures; and (xiii) constant updating to the “Shilen dans”;
  4. liaise with ADB staff as required and submit the procurement documents for ADB’s review and approval;
  5. assist the Fund manager in monitoring the procurement and consulting recruitment process and prepare periodic projections and status reports on contract award and disbursements; identify issues in shortfalls in contract award and disbursements, and undertake the remedial actions;
  6.  throughout the process, assist the Fund manager to define procurement risks and means and measures to mitigate and/or avoid potential risks and collaborate closely with the government agencies responsible for procurement activities as needed;
  7. provide relevant inputs to the formulation of the project implementation documents;
  8. provide any other procurement-related support not mentioned above, but related to the project, as assigned by the Fund manager and executive management;
  1. Output/deliverables
  • Monthly, quarterly and yearly progress reports and finalized project documents including procurement plan, bidding documents, bid evaluation reports, monitoring reports, contract award and disbursement projections etc.
  1. Required Qualifications, Skills, Expertise and Experience

II. CERTIFIED PUBLIC ACCOUNTANT

  1. Scope of work

The Certified Public Accountant will be responsible for carrying out overall accounting, financial management and disbursement activities of the project under the supervision of the Fund manager and ensure that financial management and disbursement procedures are conducted in accordance with the policies and procedures of the Government of Mongolia (GOM) and ADB. The Accountant will report to fund manager, and if applicable, MUB, Ministry of Finance (MOF) and ADB. Required inputs are 72 person-months on a full-time basis and the contract will established on a yearly basis.

  1. Detailed Tasks and/or Expected Output

The Certified Public Accountant will report to the Fund manager and perform following duties, but not limited to these only:

  1. Efficiently execute financial procedures and processes and ensure proper management and disbursement of the project funds following a sound accounting, budgeting, financial control and audit procedures in line with policies and procedures of ADB and GOM;
  2. Design an appropriate debt instrument disbursement procedure, providing advice and guidance in enhancing the capacity of PIU in achieving development results of the project and monitoring the adequacy of PIU internal control and accounting capability;
  3. Undertake the setting up of proper financial management system and application of  budgeting, book keeping, financial planning and reporting;
  4. Assist and support the PIU in preparing tables of cost estimates, allocations, and withdrawal of loan proceeds, planned contract award and disbursement S-curve;
  5. Ensure that the project’s Financial management action plan is implemented and updated as needed based on the project’s implementation progress; 
  6. Prepare budgets and projections in line with project planned activities, and update the budget based on revised project activities to ensure the budget is realistic reflection of planned activities;
  7. Maintain the project bank account(s) and ensure all financial transactions are booked and recorded timely and accurately and prepare and compile financial reports that are compliance rules and procedures of GOM and ADB;
  8. Prepare withdrawal applications, statement of expenditure and supporting documents in accordance with ADB disbursement guidelines and the government procedures;
  9. Monitor the project expenditures, prepare and consolidate all request for payments based on review and control of all payment documents, invoices, and supporting documents and carry out the process of approval for payment release;
  10. Prepare periodic financial statements and reports under IFRS and in accordance with Mongolian law and regulations for internal and external audits, and take prompt remedial actions in respect to irregularities detected by the Auditor;
  11. Ensure that all documents, information, and supporting materials are kept in safe custody and are readily made available to the ADB and the auditors;
  12. Ensure compliance with the financial covenants of the project;
  13. Provide any other FM-related support not mentioned above, but related to the project, as assigned by the Fund manager and executive management;
  1. Output/deliverables
  • Periodic (monthly, quarterly, yearly) financial reports, financial and disbursement plans and other necessary financial management documents;
  1. Required Qualifications, Skills, Expertise and Experience
  • Minimum of Bachelor’s degree in accounting, finance, public finance management or related fields; (preferable if candidate is a holder/candidate of CPA or ACCA program);
  • At least 5 years of practical experience in investment evaluation, project assessment,, project accounting and financial management;
  • Demonstrative work experience in project financial management with ADB or other international development organizations; 
  • A solid understanding of project implementation policies and procedures adhered by the Government and ADB;
  • Excellent communication, interpersonal and team work skills; and
  • Strong oral and written Mongolian and English proficiency;

 

III. LEGAL COUNSEL

  1. Scope of work

The legal counsel will represent the PIU in all legal matters related to establishing the EDAF and implementation of the AHURP, review and ensure that all EDAF rules, charter, contracts and agreements with qualified commercial banks and relevant stakeholders are in compliance with Project agreements and relevant laws rules and regulations effective in Mongolia. Review and ensure legal compliance for all issues to be discussed and decisions, contracts and agreements to be made in regards to the EDAF financing by shareholders and fund managers. Ensure the adherence of EDAF and PIU rules and regulations by PIU staff and review staff reports and performance and brief executive management during the project under the supervision of the Fund manager and ensure that legal due diligence procedures are conducted in accordance with the policies and procedures of the Government of Mongolia (GOM) and ADB. The Legal Counsel will report to fund manager, and if applicable, MUB, Ministry of Finance (MOF) and ADB. Required inputs are 70 person-months on a full-time basis and the contract will established on a yearly basis.

  1. Detailed Tasks and/or Expected Output

The Legal Counsel will report to the Fund manager and perform following duties, but not limited to these only:

  1. review and provide advice on existing legal and regulatory framework, as well as interlinked institutional and administrative arrangements, for origination, structuring and financing of the affordable housing scheme and provide recommendations and support for possible reforms;
  1. support the PIU in defining legal and regulatory requirements (including any required amendments), business plan and investment objectives of the EDAF;
  1. develop legal and policy documents and guidelines for compliance with the project requirements (including ADB legal agreements) and related laws and regulations; Advise on the establishment of EDAF and based on the advice, assist in establishing EDAF, including drafting the requisite legal documents and agreements and any regulatory filings required;
  1. work with the consultant team leader and other team members as necessary, to draft the project implementation documents. This includes model contracts/templates for project implementation (including required templates required under the ADB legal agreements under the project), handle related contract negotiations; issue any required legal opinions; and handle any other related legal matters and other related legal documents, all in compliance with relevant laws and regulations, ADB legal agreements and any other project requirements;
  1. review and update PIU internal guidelines and other related documents concerning the work flow for the effective management of EDAF;
  1. ensure due diligence and compliance with ADB policies and ADB legal agreements under the project;
  1. attend any relevant meetings on an intermittent basis and provide any other advice or support which the relevant legal expert in his/her professional judgment considers necessary or advisable;
  1. advise PIU on various legal, regulatory and policy issues during project implementation;
  1. assist the PIU in disputes arising from the relevant contracts during project implementation;
  1. lead in providing legal services in the processing, negotiating and administration of the project implementation;
  1. provide legal review and due diligence regarding real estate, land and mortgage issues;
  1. undertake any other necessary work assigned by the Fund manager and executive management.
  1. ensure that all documents, information, and supporting materials are kept in safe custody and are readily made available to the ADB and the auditors;
  1. ensure compliance with the legal covenants of the project;
  1. provide any other legal support not mentioned above, but related to the project, as assigned by the Fund manager and executive management;
  1. Output/deliverables
  • Periodic (monthly, quarterly, yearly) financial reports, financial and disbursement plans and other necessary financial management documents;
  1. Required Qualifications, Skills, Expertise and Experience
  • Mongolian qualified lawyer with at least 5 years of legal experience in corporate, commercial, regulatory legal services;
  • Must possess relevant legal experience with practical experience in the formulation and implementation of development projects, preparation and negotiation of international financing agreements, and legal analysis of the status and organization of financial institutions;
  • Preferable practical experience in financial and investment sector and project financing contracts and agreement structuring;
  • Preferable practical experience in dealing with real estate, land and mortgage sector issues, contracts and agreements;
  • Must be able to draft complex legal agreements pursuant to signed donor-funded legal agreements and other project documents;
  • Must be able to present and defend complex legal arguments and issues with a high degree of competence;
  • Able to conduct legal research, prepare legal documentation, contracts and reports and to handle administrative and legal procedures and negotiations;
  • A solid understanding of project implementation policies and procedures adhered by the Government and ADB;
  • Excellent communication, interpersonal and team work skills; and
  • Strong oral and written Mongolian and English proficiency;
  • Effective report writing and communication skills in English.

IV. FINANCE RISK SPECIALIST

  1. Scope of work

The Finance Risk Specialist/Analyst will be responsible for carrying out overall financial and investment risk management activities of the project under the supervision of the Fund manager and ensure that risk management and compliance operation is conducted in accordance with the policies and procedures of the Government of Mongolia (GOM) and ADB. The Finance Risk Specialist/Analyst will report to fund manager, and if applicable, MUB, Ministry of Finance (MOF) and ADB. Required inputs are 72 person-months on a full-time basis and the contract will established on a yearly basis.

  1. Detailed Tasks and/or Expected Output

The Finance Risk Specialist/Analyst will report to the Fund manager and perform following duties, but not limited to these only:

  1. develop the existing risk management practices and ensure greater coordination and more focused risk management across the PIU and EDAF; designing and implementing an overall risk management process for the PIU, which includes an analysis of the financial impact on the PIU and EDAF when risks occur and establishing the level of risk, the PIU are willing to take;
  1. developing the financial models, payment schedules and risk evaluation of the green bond contracts to be established with qualified commercial banks;
  1. ensure that EDAF’s operations are adhering to prudential requirements, relevant laws, rules and regulations, provide expert analysis and proposals for risk management and mitigation, provide consistent reports to the fund manager and fund shareholders;
  1. conducting the due diligence, financial assessment and cash flow analysis of the financial capacity of building developers in accordance with PAM;
  1. conduct due diligence, risk analysis and assessments on real estate, mortgage loans, land valuations.
  1. assist the finance, investment and compliance experts foreseen under the Sustainable Green Finance Support consulting package to identify project risks and set up a risk management system /RMS/ to be used during the implementation;
  1. ensure that the project’s risk management plan is implemented and updated as needed based on the project’s implementation progress; and prepare periodic updates to the risk managements plan under the guidance of the MUB, ADB and Steering Committee and undertake the relevant approval processes for finalization and constantly report to the project stakeholders;
  1. undertake the setting up of financial and risk management system and application of investment portfolio management and risk management planning and reporting and have responsibility for compiling and preparing the program financial and risk management progress reports as required by ADB;
  1. provide relevant inputs to the formulation of the project implementation documents;
  1. ensure that the project’s financial and risk management action plan is implemented and updated as needed based on the project’s implementation progress; 
  1. ensure compliance with the financial covenants of the project and reviewing any new major contracts or internal business proposals and building risk awareness amongst staff by providing support and training within the PIU;
  1. provide any other risk management related support not mentioned above, but related to the project, as assigned by the Fund manager and executive management;
  1. Output/deliverables
  • Periodic (monthly, quarterly, yearly) financial reports, financial and disbursement plans and other necessary financial management documents;
  1. Required Qualifications, Skills, Expertise and Experience
  • Minimum of Bachelor’s degree in finance, banking and other relevant disciplines; (preferable if candidate is a holder/candidate of FRM, CFA program)
  • Minimum of 5 years relevant experience to project implementation, risk management, financial administration, and other related work experience;
  • At least 3 years of practical experience in project management or risk management-related work experience in projects financed by ADB and other international financial institutions;
  • Experience working to regulatory and project deadlines and maintaining effective strategic partnerships with key stakeholders, internal and external;
  • Strong background in and understanding of the governance and compliance obligations of the investment and asset management companies and a solid understanding of project implementation policies and procedures adhered by the Government of Mongolia and ADB;
  • Strong commercial and financial awareness in the planning of large-scale complex and varied portfolio.
  • Excellent communication, interpersonal and team work skills; and
  • Strong oral and written Mongolian and English proficiency;
